CFO Recruit is partnering with a construction business to engage a fully remote Fractional Chief Financial Officer to support the CEO/owner and leadership team through a strategic financial transaction, specifically the buyout of initial investors and the transition to an independently run LLC. The ideal candidate will be comfortable working remotely and providing expert financial guidance, transaction oversight, and strategic advisory services to ensure a seamless and financially sound transition.

This is a part time, consulting arrangement which would suit an interim CFO or a Fractional CFO with experience of leading similar transactions previously.  We estimate this to be approximately a 10 hour per week commitment initially with involvement increasing as the process progresses, potentially up to 24 hours per week towards the close.

The Fractional CFO will have the following remit:

  • Support the leadership team in the execution of the financial strategy for the investor buyout, ensuring alignment with the business’s long-term goals.
  • Analyze the financial impact of the transition to an independent LLC, work with advisors to address tax implications, capital structure, and compliance requirements.
  • Work with legal, tax, and financial advisors and negotiate with investors to structure the buyout in a way that minimizes risk and maximizes value.
  • Partner with the CEO and other relevant stakeholders to finalize financing options, including debt, equity, or alternative funding sources, to support the buyout.
  • Act as a trusted advisor to the CEO, providing clear insights and recommendations on financial decisions.
  • Guide the CEO and provide advisory to the leadership team through the complexities of restructuring ownership, updating governance, and ensuring compliance with regulatory requirements.
  • Develop financial models and forecasts to assess different scenarios and their impact on cash flow and profitability.
  • Assist in revising operating agreements, shareholder agreements, and financial policies to reflect the new business structure.
  • Oversee financial reporting, budgeting, and cash flow management during and after the transition.
  • Provide recommendations on optimizing tax efficiency and entity structure post-transition.
  • Recommend the appropriate structure of the finance and accounting team post- transition and hire the right talent.

To be successful in this engagement the Fractional CFO will have the following experience: 

  • 10+ years of financial leadership experience, a strong background in M&A, corporate finance, and entity restructuring is essential.
  • Experience as a CFO, Fractional CFO, or senior finance executive in private companies undergoing ownership transitions is required.
  • Deep understanding of organization structures, tax implications, and financial restructuring.
  • Strong track record of advising business owners through complex financial transactions.
  • Ability to work collaboratively with legal, tax, and financial advisors to execute a seamless transition.

The rate advertized for this engagement is a guideline, the rate offered will be commensurate with experience.
